For purposes of these Terms of Service ("Terms"), each capitalized word or phrase shall have the exact meaning stated in this Section and no alternate interpretation shall apply. "Bounty Board" or "Platform" means the proprietary online marketplace owned and operated by Bounty Board Company, inclusive of the bountyboard.gg website, mobile applications, application programming interfaces, databases, software, user interfaces, and all associated or ancillary services and features. "Bounty Board Company," "we," "us," and "our" mean the legal entity incorporated in Washington State, United States, including all successors and assigns, that owns and operates the Platform. "Studio" means any legally recognized entity that registers a Studio account, posts Bounties, and is obligated to pay for approved Submissions. "Studio Account" means the registered account type on the Platform designated for posting Bounties and paying for Submissions. "Creator" means any natural person eighteen (18) years of age or older, or business entity acting through an authorized representative, that registers a Creator account, applies to Bounties, and delivers Submissions. "Creator Account" means the registered account type on the Platform designated for applying to Bounties and submitting deliverables. "Bounty" means a specific work request posted by a Studio, which shall specify deliverables, technical specifications, objective acceptance criteria, timelines and deadlines, compensation denominated in U.S. Dollars, and any intellectual property terms. "Application" means a Creator's formal request to undertake a particular Bounty. "Submission" means the completed deliverable a Creator uploads through the Platform for Studio review under a Bounty. "Game" means the video game, interactive software, or product for which a Studio posts a Bounty. "Payment" means the monetary consideration for an approved Submission processed via Stripe Checkout in U.S. Dollars. "IP Transfer" means the complete and irrevocable conveyance of all intellectual property rights in a Submission from Creator to Studio, including but not limited to copyrights, trademarks, patents, trade secrets, moral rights (where waivable), and all derivative work rights, occurring automatically upon completed Payment as provided herein. "Non-Competing Use" means Creator's use of a Submission exclusively for: (a) personal portfolios and self-promotion; (b) educational or training materials; (c) non-game software applications; (d) static artistic works; or (e) any use that does not involve interactive entertainment products. Any use in connection with video games, interactive software, or similar products constitutes a competing use and is prohibited. "Registration Information" means all data provided during account creation including but not limited to: legal name, business entity name (if applicable), email address, physical address, tax identification numbers, Stripe account details, and any verification documents. "Unauthorized Activity" means any use of the Platform that: (a) violates these Terms; (b) circumvents security measures; (c) impersonates another user; (d) involves fraudulent transactions; (e) attempts to avoid Platform fees; or (f) violates applicable laws. Unauthorized Activity constitutes grounds for immediate account termination without notice.
The Platform enables Studios to post Bounties, Creators to apply for and perform Bounties, Creators to upload Submissions for Studio review, Studios to approve Submissions, and integrated processing of Payments via Stripe Checkout or approved cryptocurrency methods. The Platform and its features are provided solely as described in these Terms.
By registering for, accessing, or using any part of the Platform, you represent and warrant that you have read these Terms in full, understand them, and agree to be legally bound by them. Any use without such agreement is prohibited and void ab initio.
A Studio posts Bounties and is obligated to pay for approved Submissions. Studios must be legally recognized entities capable of entering binding contracts. A Creator applies to Bounties and delivers Submissions. Creators may be individuals or entities meeting eligibility requirements. A single account shall not act as both Studio and Creator simultaneously.
Each User must be at least eighteen (18) years of age at registration, possess full legal capacity to enter binding contracts, maintain a valid Stripe account for sending or receiving Payments, provide accurate, current, and complete Registration Information, maintain such information as accurate, current, and complete thereafter, and comply at all times with applicable laws and regulations. Any account created in violation of these requirements shall be null and void and constitutes a material breach of these Terms.
Each User is solely responsible for safeguarding credentials, for all activity under their account whether authorized or unauthorized, for promptly notifying Bounty Board Company of any suspected or actual compromise, and for ensuring that all account data remains accurate, current, and complete. Unauthorized Activity under a User's account shall be deemed the responsibility of that User for Platform purposes and may result in immediate account termination.
The Privacy Policy available at bountyboard.gg/privacy is incorporated herein by reference with the same force and effect as if fully set forth. By using the Platform, each User consents to the collection, use, processing, storage, and disclosure of information as described in the Privacy Policy.
The Platform and associated data are hosted in the United States. Users accessing the Platform from other jurisdictions consent to the transfer and processing of their data in the United States and are responsible for compliance with their local laws.
Bounty Board Company implements commercially reasonable administrative, technical, and physical safeguards to protect User data; however, no method of electronic transmission or storage is completely secure and absolute security cannot be guaranteed. Users transmit data at their own risk.
A Studio posting a Bounty shall specify all deliverables and technical specifications, objective and measurable acceptance criteria, the Payment amount (in U.S. Dollars), associated timeline and deadlines, and intellectual property transfer terms or custom arrangements (conspicuously disclosed). Minimum Creator qualifications may be included and, unless explicitly designated as absolute requirements, operate as guidelines only. Failure to include these elements constitutes a breach and shall result in removal of the Bounty and may result in account suspension.
A Creator may apply to multiple Bounties simultaneously. A Studio may evaluate Applications in its discretion, including based on qualifications stated in the Bounty. Approval of an Application forms a binding agreement between the Studio and the Creator to perform the Bounty as posted. Failure to perform under a binding agreement may result in account suspension, negative reputation markers, and liability for damages. Creators are not charged fees for submitting Applications unless a Bounty states otherwise in compliance with these Terms.
Creators shall upload Submissions solely through the Platform and Submissions must conform to all stated Bounty requirements. The Studio has twenty-one (21) calendar days from the date the Submission is uploaded to review and approve or reject the Submission. If the Studio fails to act within that period, the Submission is deemed approved automatically and Payment shall proceed under Section 5. Revisions are limited to four (4) rounds unless the Bounty expressly states otherwise. Unless a Bounty explicitly provides exclusivity, multiple Submissions may be approved and compensated under the same Bounty.
All payments are processed exclusively in U.S. Dollars via Stripe Checkout. Users are responsible for any foreign exchange, bank, or other fees. Each User must maintain a valid Stripe account at all times. Bounty Board Company charges a non-refundable ten percent (10%) platform fee on each successful transaction, deducted at processing time.
Upon Bounty approval, Studio funds are held in escrow pending Submission approval. No funds are released to a Creator until the Submission is approved by the Studio or deemed approved upon expiration of the review period. Upon approval or deemed approval, funds are transferred from escrow to the Creator's account. Funds are subject to a seven (7) calendar day holding period for dispute processing. Failure to act within twenty-one (21) days results in automatic approval and Payment without exception.
Bounty Board Company is not liable for issues, delays, or failures arising from Stripe or other third-party financial institutions. Users must resolve such issues directly with payment processors. Bounty Board Company's liability is limited to matters within its direct control as set forth in Section 9. Users are solely responsible for any taxes arising from their earnings on the Platform.
If a Studio fails to review a Submission within twenty-one (21) calendar days of upload, the Submission is automatically approved, Payment is processed from escrow, and the Studio irrevocably waives any right to dispute the Submission thereafter for Platform purposes.
Prior to Payment, all rights in a Submission remain exclusively with the Creator and the Studio acquires no rights. Upon completed Payment, full ownership of all intellectual property rights in the Submission transfers automatically and irrevocably to the Studio. The Studio may use, reproduce, modify, adapt, distribute, license, sublicense, and otherwise exploit the Submission without restriction for any purpose. The Creator retains an irrevocable, perpetual, worldwide license to display the Submission in portfolios, showcases, websites, and promotional materials solely for self-promotion and Non-Competing Uses. Creator may not use the Submission in any video game, interactive product, or competing application.
A Studio may specify custom intellectual property terms conspicuously within the Bounty at posting. By applying to such a Bounty, the Creator consents to those custom terms. The Creator's portfolio rights for self-promotion remain absolute and non-waivable regardless of custom terms. Custom terms may not be altered after Applications are approved.
After Payment, the Studio may create and exploit derivative works without restriction. The Creator may create derivative works solely for Non-Competing Uses. Neither party owes royalties or requires permission except as expressly stated in custom IP terms.
The Creator represents and warrants that all third-party assets in a Submission are properly licensed for the intended use, all such assets and license terms are disclosed in writing within the Submission, and the Studio can use the Submission without additional licensing obligations. The Creator shall indemnify, defend, and hold harmless the Studio and Bounty Board Company from all claims, damages, liabilities, and costs arising from breach of this warranty. The Studio shall indemnify, defend, and hold harmless Bounty Board Company from all claims arising from Studio's use of properly disclosed third-party assets beyond their license terms.
Bounty Board Company retains all rights, title, and interest in the Platform, including software, user interfaces, databases, and branding. Users grant Bounty Board Company a limited, non-exclusive, worldwide, royalty-free license to host, display, and transmit their content as necessary to operate the Platform and provide Platform services.
Users are strictly prohibited from providing false or misleading information; engaging in fraud, misrepresentation, or impersonation; harassing, threatening, or abusing others; posting discriminatory, obscene, or defamatory content; violating intellectual property rights; attempting to circumvent Platform fees; creating multiple accounts for deceptive purposes; scraping or mining Platform data without authorization; posting malware or harmful code; or interfering with or attempting to disrupt Platform operations. Any violation constitutes an immediate and incurable breach of these Terms and shall result in account suspension or termination without notice.
All disputes between Users must first be submitted to Bounty Board Company's internal dispute resolution system. Users shall submit disputes within thirty (30) days of the triggering event, provide all relevant documentation and evidence, cooperate with investigation requests, and accept Bounty Board Company's final determination for Platform administration purposes. Bounty Board Company will review disputes and render decisions within fourteen (14) business days when possible.
All sales are final unless both parties mutually agree to cancel. Studios seeking cancellation may be subject to cancellation fees equal to 50% of the Bounty value. Authorized refunds are issued to the original payment method within seven (7) business days.
Any dispute not resolved under Section 8.1 shall be submitted exclusively to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with venue in Seattle, Washington. Each party bears its own costs unless the arbitrator determines otherwise. Users waive any right to bring claims on behalf of others or participate in class actions, class arbitrations, or representative actions against Bounty Board Company. Court proceedings are permitted solely to enforce arbitral awards.
The Platform is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied. Bounty Board Company shall not be liable for the quality or fitness of Submissions, user disputes, indirect, incidental, special, consequential, or punitive damages, loss of profits or data, service interruptions, data breaches, or third-party service failures including Stripe. The total aggregate liability of Bounty Board Company to any User for all claims shall not exceed the total Platform fees actually paid by that User during the twelve (12) months immediately preceding the claim.
These Terms remain in effect for the duration a User's account remains registered on the Platform. Bounty Board Company may, in its discretion, suspend, restrict, or terminate accounts; remove content; refuse service; or modify Platform features at any time. Upon termination, Platform access ceases immediately, but completed transactions remain valid and enforceable. The following provisions survive termination: completed IP transfers, indemnification obligations, limitation of liability, dispute resolution, and any vested rights or obligations.
These Terms shall be governed by the laws of the State of Washington, without regard to conflict of law principles. These Terms, Privacy Policy, and Bounty-specific terms constitute the entire agreement between Users and Bounty Board Company. Bounty Board Company may modify these Terms upon thirty (30) calendar days' notice; continued use constitutes acceptance. Invalid provisions shall be severed and replaced with valid provisions reflecting original intent. Failure to enforce provisions does not constitute waiver. Users may not assign rights without written consent; Bounty Board Company may assign freely.
By posting content, Users grant Bounty Board Company necessary rights to operate the Platform. Bounty Board Company responds to valid copyright notices; repeat infringers face termination. Platform controlled from United States; international Users responsible for local law compliance. Additional app store terms may apply to mobile applications.
All inquiries, communications, notices, and legal correspondence relating to these Terms shall be directed to Bounty Board Company via email at admin@bountyboard.gg or via the website at bountyboard.gg. Notices from Users must originate from registered email address and are effective upon receipt acknowledgment. Platform notices are effective upon earlier of actual receipt or seventy-two (72) hours after transmission.
By using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. These Terms shall be construed strictly according to their plain language.
